Advertising Agreement
Between Eagle Mountain City Citizens, LLC and Advertiser
This Advertising Agreement (“Agreement”) is entered into by and between Eagle Mountain City Citizens, LLC, a Utah limited liability company (“EMCC LLC”), and the individual or business identified below (“Advertiser”). This Agreement sets forth the terms and conditions under which Advertiser may place advertisements in the private Facebook group Eagle Mountain City Citizens, managed and operated by EMCC LLC.
1. DEFINITIONS AND SCOPE
“Advertisement” or “Ad”: Any post created by the Advertiser that promotes, sells, or markets a product, service, event, or business in the Eagle Mountain City Citizens Facebook group.
“Post”: A single submission or publication of content within the Facebook group.
“Advertisement Period”: The defined number of days during which a specific number of ads may be posted, starting from the timestamp of the first posted ad under a package.
“Declined Advertisement”: An advertisement rejected by EMCC LLC. These do not count against the Advertiser’s post limit.
“Discounted Package”: A paid advertising package offered at a reduced rate, contingent upon the Advertiser offering a discount exclusive to members of the Facebook group.
“Standard Package”: A paid advertising package that does not require the Advertiser to offer any group-exclusive discounts.
The Eagle Mountain City Citizens group is hosted on Facebook, is not affiliated with Meta (Facebook), the City of Eagle Mountain, or any government entity. It is privately operated and managed by EMCC LLC.
2. PACKAGE OPTIONS
EMCC LLC offers several advertising packages, each designed to accommodate different posting frequencies. Each Paid Package is available in two distinct versions:
Discounted Version:
Advertiser must offer a discount of at least 15% or greater in every Advertisement. The discount must be clearly stated in each post and must be redeemable by members of the Eagle Mountain City Citizens Facebook group.
Standard Version:
No discount is required. The Advertiser may include a discount at their discretion, but it is not mandatory.

Additional Details:
For the Free Package, the Advertisement Period begins the day of the first posted advertisement under a package. For example, if the first ad is posted Monday, the 7-day period starts that day for the free package.
For any of the above paid packages, the Advertisement Period begins on the date of when the payment was received.
• Unused advertisements do not carry over into the next Advertisement Period.
• Declined Advertisements do not count toward the post limit.
3. PAYMENT TERMS
All payments must be made in advance of services being rendered. Payments are set up as recurring monthly. No invoice will be sent out, but a receipt is available upon request.
Accepted payment methods: Debit Card, Credit Card, PayPal, or other methods approved by EMCC LLC.

5. REFUNDS AND CANCELLATIONS
• Cancellations must be requested in writing. Emails must come from the account with which the advertising ID is registered, or from the account associated with how funds were received (i.e. the Paypal account’s associated email address).
• Refunds will be pro-rated based on the number of days elapsed in the current Advertisement Period.
• No refunds will be issued:
◦ For unused ads after the full period has elapsed.
◦ For declined ads unless they were wrongfully rejected.
• All refund requests are subject to review and approval by EMCC LLC.
6. AD REVIEW AND APPROVAL
All advertisements are subject to review and approval before or after posting.
Reasons for rejection may include (but are not limited to): violations of group rules, offensive or inappropriate content, deceptive claims, missing discount (on applicable posts), or community value misalignment.
Declined ads will be accompanied by a written reason for rejection.
Advertisements will be reviewed and approved as admins and moderators are available, and are not guaranteed to be posted on a particular date or at a particular time of day.
EMCC LLC reserves the right to edit, remove, or limit the visibility of any advertisement that, in its sole judgment, is contrary to the best interests of the community or the integrity of the Facebook group.
7. CONTENT REQUIREMENTS AND COMMUNITY STANDARDS
All ads must:
• Be family-friendly and appropriate for a general audience.
• Comply with Facebook’s Terms of Service.
• Align with the group’s standards and values.
Prohibited Advertisement Categories:
• Adult products, content, or services
• Multi-level marketing (MLM) schemes
• Guns, controlled substances, or weapons
• Content that is discriminatory, deceptive, or controversial
Advertiser acknowledges that content standards may evolve, and EMCC LLC reserves the right to update or enforce standards consistent with community feedback or legal/regulatory considerations, without prior notice.
8. TERMINATION OF AGREEMENT
Either party may terminate this Agreement with written notice.
Upon termination, the refund policy in Section 5 applies.
EMCC LLC may terminate this Agreement immediately and without refund for repeated violations of ad rules or community standards.
9. LIMITATION OF LIABILITY
EMCC LLC does not guarantee ad performance, reach, engagement, or results.
EMCC LLC is not liable for customer complaints, business loss, or third-party actions.
Total liability under this Agreement shall not exceed the total amount paid by Advertiser in the 30 days preceding the claim.
EMCC LLC, its owners, administrators, moderators, and agents shall not be held liable for any incidental, indirect, punitive, or consequential damages arising from advertising activities, whether foreseeable or not. The total liability shall not exceed the lesser of (a) the total amount paid in the 30 days preceding the claim, or (b) $40.
10. DISPUTE RESOLUTION
All disputes arising under this Agreement shall first be attempted to be resolved through informal mediation.
If unresolved, the matter shall be submitted to binding arbitration in Utah County, Utah.
This Agreement is governed by the laws of the State of Utah, without regard to conflict of laws principles.
11. INDEMNIFICATION
Advertiser agrees to indemnify, defend, and hold harmless EMCC LLC, its owners, administrators, moderators, agents, and affiliates from and against any and all claims, liabilities, damages, losses, or expenses (including attorneys’ fees and costs) arising out of or in connection with: (a) the content of any advertisement, (b) any breach by Advertiser of this Agreement, or (c) any alleged violation of third-party rights.
12. AMENDMENT AND WAIVER
EMCC LLC may amend this Agreement at any time by posting the updated version online or notifying the Advertiser via email. Continued use of the advertising program after such notice shall constitute acceptance of the revised terms. No waiver of any provision shall be deemed a waiver of any other provision or of the same provision on another occasion.
